US companies, bitcoin on the books, and tax on sale

Bookkeeping fair-value rules and cash-tax bills are different clocks — both get mis-sold in pitches.

For United States corporations, tax and financial reporting are cousins, not twins. On the tax side, unrealised price rises on held bitcoin generally do not create federal income tax by themselves; tax usually follows a realisation event such as a sale or exchange. Corporate taxable income on a gain can sit near the federal rate of 21%, before any state layer — again, depending on facts and elections.

On the accounting side, crypto held as an indefinite-lived intangible used to follow an awkward impairment model: write downs when prices fell, but no mark-up when they recovered until sale. In December 2023 the Financial Accounting Standards Board (FASB) issued ASU 2023-08, requiring many in-scope crypto assets to be measured at fair value each period with changes through net income. The amendments are effective for fiscal years beginning after 15 December 2024 (so calendar 2025 for many filers), with early adoption allowed. That can make “paper” gains visible in earnings without being the same thing as cash tax due.

Public companies that accumulate BTC (or that trade it for customers) still face ordinary questions: custody, disclosure, and whether a stranger’s “corporate treasury product” is actually a deposit scheme. Marketing that confuses fair-value accounting with tax-free wealth, or that demands a fee to “regularise” corporate crypto with a fake agency, is noise. Read the FASB update and IRS property rules yourself — or hire someone who does — before you treat a slide as law.
