Paragon Coin: cannabis ICO, SEC case, thin fair-fund ending

PRG was sold as industry infrastructure and price appreciation — then became an early SEC ICO enforcement exhibit.

Paragon Coin (token PRG) was a loud 2017 story: put blockchain into the cannabis trade, talk track-and-trace and community tools, and sell a token that marketing said was “designed to appreciate”. According to the United States Securities and Exchange Commission (SEC), between August and October 2017 Paragon raised about twelve million dollars in digital assets without registering the offering as securities.

The SEC’s 2018 settled order is the clean public record. Paragon described how its own efforts would support PRG’s value and pointed to secondary trading — classic investment-contract language, not a quiet utility coupon. The firm agreed to register the tokens, offer rescission-style relief and pay a civil penalty. Later reporting and SEC distribution papers show how badly that unwound: the company struggled to repay investors, entered bankruptcy in 2020, and a Fair Fund eventually ordered disbursement of only about $167,665 to eligible harmed buyers — a rounding error against the original raise.

Celebrity promotion and co-working real-estate dreams did not rescue the economics. Market pages now treat PRG as effectively lifeless. The useful moral is institutional, not botanical: when a token sale markets price appreciation and secondary markets to the general public, regulators may treat it as a security sale — and “industry mission” slides do not refund a dead chart.

If a modern pitch recycles Paragon’s shape — hot sector, blockchain wrapper, token that “must” rise — read the SEC order first and ask what legal claim you actually buy.
